TERMS OF SERVICE

Welcome to Sonicplan. These Terms of Service ("Terms") govern your 
access to and use of the Sonicplan website (the "Site") and the 
branding, strategy, and design services we provide ("Services"). 
By using our Site or engaging our Services, you agree to these Terms.

1. ABOUT US

Sonicplan ("Sonicplan", "we", "us", "our") is a branding and strategy 
studio operated by sonicplan based in Australia. You can reach us at hello@sonicplan.com.

2. ELIGIBILITY

By using our Site or engaging our Services, you confirm that you are 
at least 18 years old and have the legal capacity to enter into a 
binding agreement. If you are engaging us on behalf of a company, 
you confirm you are authorised to bind that company to these Terms.

3. OUR SERVICES

Sonicplan provides creative services including but not limited to brand 
strategy, visual identity, logo design, brand messaging, web design, 
and art direction. The specific scope, deliverables, timeline, and 
fees for any project will be set out in a separate written proposal, 
statement of work, or engagement agreement ("Project Agreement"). 
In the event of any conflict between these Terms and a Project 
Agreement, the Project Agreement will prevail.

4. ENGAGEMENT & PROJECT PROCESS

(a) A binding engagement is formed once you accept a Project Agreement 
    in writing (including by email or signed proposal).
(b) You agree to provide timely feedback, accurate information, and 
    any materials reasonably required for us to perform the Services.
(c) Project timelines are estimates. Delays caused by late feedback, 
    incomplete information, or scope changes may extend timelines and 
    are not the responsibility of Sonicplan.
(d) Scope changes, additional revisions beyond what is specified, or 
    new deliverables will be quoted separately and require written 
    approval before work begins.

5. FEES & PAYMENT

(a) Fees are set out in the Project Agreement and are in Australian 
    Dollars (AUD) unless stated otherwise.
(b) Unless otherwise agreed in writing, payment is due upon fulfilment 
    of the agreed deliverables. Invoices are payable within [14] days 
    of issue.
(c) Late payments may incur interest at a rate of [2]% per month or 
    the maximum permitted by law, whichever is lower. We reserve the 
    right to suspend ongoing work or withhold final files until 
    outstanding invoices are settled.
(d) All fees are exclusive of GST unless otherwise stated. GST will 
    be added where applicable.

6. INTELLECTUAL PROPERTY

(a) Until full payment is received, all rights, title, and interest 
    in any deliverables remain the property of Sonicplan.
(b) Upon receipt of full payment, ownership of the final approved 
    deliverables (excluding any third-party assets and our underlying 
    methodologies, working files, and pre-existing tools) transfers 
    to you for the use described in the Project Agreement.
(c) Concepts, drafts, sketches, and unused options remain the 
    intellectual property of Sonicplan.
(d) We retain the right to display completed work in our portfolio, 
    case studies, social media, and marketing materials unless you 
    request otherwise in writing.
(e) You warrant that any materials you provide to us (logos, copy, 
    images, fonts, etc.) do not infringe the rights of any third party 
    and that you have the right to provide them to us.

7. THIRD-PARTY ASSETS

Some deliverables may incorporate third-party assets (e.g., fonts, 
stock imagery, plugins, templates). Licensing for these assets is the 
client's responsibility and will be billed to you at cost unless 
otherwise agreed.

8. CONFIDENTIALITY

Both parties agree to keep confidential any non-public information 
shared during the engagement, except where disclosure is required by 
law or with the other party's written consent.

9. CANCELLATION & TERMINATION

(a) Either party may terminate a Project Agreement by providing 
    written notice if the other party materially breaches these Terms 
    or the Project Agreement and fails to remedy the breach within 
    [14] days.
(b) If you cancel a project after work has commenced, you remain 
    responsible for fees covering work completed and any 
    non-refundable third-party costs already incurred.

10. WARRANTIES & CONSUMER GUARANTEES

(a) We will perform the Services with due care, skill, and to a 
    professional standard.
(b) Nothing in these Terms excludes, restricts, or modifies any 
    consumer guarantee, right, or remedy you may have under the 
    Australian Consumer Law (Schedule 2 of the Competition and 
    Consumer Act 2010 (Cth)) that cannot lawfully be excluded.
(c) To the extent permitted by law, all other warranties, conditions, 
    and representations are excluded.

11. LIMITATION OF LIABILITY

(a) To the maximum extent permitted by law, Sonicplan's total 
    liability arising out of or in connection with these Terms or the 
    Services is limited to the total fees paid by you to Sonicplan 
    under the relevant Project Agreement in the [6] months preceding 
    the claim.
(b) We are not liable for any indirect, incidental, consequential, 
    or special damages, including loss of profits, revenue, data, or 
    business opportunity.

12. INDEMNITY

You agree to indemnify and hold Sonicplan harmless from any claims, 
damages, or expenses arising from (a) your use of the deliverables 
beyond the scope of the licence granted, (b) materials you provided 
to us, or (c) your breach of these Terms.

13. PRIVACY

Your use of the Site and Services is also governed by our Privacy 
Policy, which is incorporated into these Terms by reference.

14. WEBSITE USE

(a) The Site is provided "as is". We make no warranties about its 
    accuracy, availability, or fitness for any purpose.
(b) You agree not to misuse the Site, attempt unauthorised access, 
    or use it for unlawful purposes.

15. CHANGES TO THESE TERMS

We may update these Terms from time to time. The current version will 
always be posted on this page with the "Last updated" date. Continued 
use of the Site or Services after changes constitutes acceptance.

16. GOVERNING LAW & JURISDICTION

These Terms are governed by the laws of [State, e.g., New South Wales], 
Australia. Any disputes will be resolved in the courts of [State], 
and both parties submit to the exclusive jurisdiction of those courts.
